Terms of Service

These Terms of Service (the "Terms") are an agreement between you and Nimbit ("we", "us") covering your use of the Nimbit browser extension, the website at https://www.usenimbit.com, and the services behind them (together, the "Service"). By installing the extension, creating an account, or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

1. What Nimbit is

Nimbit is a Chrome extension that suggests text as you type in fields on the web. Suggestions are generated by artificial-intelligence models using the text around your cursor, the page you are on, and a small memory of how you write. You accept a suggestion by pressing Tab; otherwise it disappears. Our Privacy Policy explains exactly what is read, stored, and discarded.

Nimbit is in early access. Features may change, be added, or be removed, and the Service may occasionally be unavailable while we work on it.

2. Who can use Nimbit

You must be at least 13 years old to use the Service. If you are under 18, you may use it only with a parent or guardian's permission, and they must agree to these Terms on your behalf. You may use Nimbit for personal or business purposes. If you use it on behalf of a company, you confirm you have authority to bind that company to these Terms.

3. Your account

You sign in to Nimbit on our website, and the extension uses that session. Keep your sign-in method secure and tell us at hello@usenimbit.com if you think someone else has accessed your account. You are responsible for activity under your account. Give us accurate information and keep it up to date.

4. Free trial, subscription, and payment

Free trial. New accounts get a 14-day free trial that starts the first time Nimbit is used with your account. No payment card is required. When the trial ends, Nimbit keeps showing suggestions for a further seven days as a preview, but you cannot accept them until you subscribe. After that, suggestions stop until you subscribe.

Subscription. Nimbit Basic costs the price shown on our website (currently US$9.99 per month, plus any applicable taxes). It is billed monthly, in advance, through our payment processor, Stripe. Your subscription renews automatically each month at the then-current price until you cancel. By subscribing you authorise us and Stripe to charge your payment method each billing period.

Cancelling. You can cancel at any time from your account page at https://www.usenimbit.com/account, which opens the billing portal. Cancelling takes effect at the end of the current billing period: you keep access until then, and you will not be charged again. We do not give refunds or credits for partial months, except where the law requires it. If you believe you were charged in error, email hello@usenimbit.com within 30 days and we will look into it.

Failed payments. If a payment fails, we will let you know and retry it. If it keeps failing, we may suspend suggestions until you update your payment method.

Price changes. We may change prices. We will give you at least 30 days' notice by email before a change applies to your subscription, and you can cancel before it takes effect.

Fair use. To keep the Service fast and affordable for everyone we may apply reasonable limits on the number of suggestions per minute or per day. We will tell you in the extension if you hit one.

5. AI suggestions

Suggestions are produced by AI models and can be wrong, incomplete, inappropriate, or invented. Nimbit tries to stick to facts it can see in your text and memory, but it cannot guarantee accuracy. You are responsible for everything you send, post, or submit, including text that Nimbit suggested. Read suggestions before you accept them, especially anything involving dates, names, money, legal, medical, or financial matters. Suggestions are not professional advice of any kind.

The same suggestion may be produced for other users in similar situations. We do not claim ownership of suggested text, and you may use the text you accept freely, subject to any rights third parties may have in the content you were writing.

6. Your content

You own what you write. To provide the Service we need your permission to process it, so you grant us a worldwide, non-exclusive, royalty-free licence to use, transmit, store, and create derivative works from the text you write in fields where Nimbit is active, solely to operate, secure, and improve the Service as described in our Privacy Policy. This includes sending it to the AI providers we use, summarising it into your memory, and training and improving our own suggestion models. This licence ends when the content is deleted, except for aggregated statistics that no longer identify you.

We do not sell your content. You can opt out of having it used to train our models as described in the Privacy Policy.

You are responsible for making sure you have the right to write what you write, and that using Nimbit on a particular website does not break that website's rules or any confidentiality obligation you have. If you are unsure, pause Nimbit on that site.

7. Acceptable use

8. Third-party sites and services

Nimbit runs on websites we do not control and relies on browsers, AI providers, and payment and authentication services we do not control. We are not responsible for those sites or services, their availability, or their terms. Websites may change in ways that stop Nimbit from working on them, and some sites may prohibit the use of assistive tools; it is your responsibility to follow their rules.

Website content and scripts. Third-party websites control their own content, scripts, and data practices. Content on a page, including content posted by other users, can influence AI suggestions and may contain misleading or malicious instructions. When Nimbit is active, suggestions automatically use your writing profile and relevant memories, including memories from other sites. A suggestion may therefore contain personal information. Review it before accepting it: once text is inserted into a website's field, that website may read or collect it even if you have not submitted the form. Pause Nimbit on sites you do not trust or where you do not want it to use your memory.

To the fullest extent permitted by applicable law, we are not responsible for the independent acts or omissions of third-party website operators or users, including malicious page content or their collection or use of text entered on their sites. This does not exclude responsibility for our own acts or omissions where liability cannot lawfully be excluded, waive your non-waivable rights, or change our commitments under the Privacy Policy.

9. Our intellectual property

The extension, the website, the Nimbit name and mascot, and all related software and designs belong to us or our licensors. These Terms give you a personal, non-transferable, revocable licence to install and use the extension for its intended purpose. We reserve all other rights.

If you send us feedback or suggestions, we may use them without any obligation to you.

10. Ending things

You can stop using Nimbit at any time by cancelling your subscription and uninstalling the extension. You can delete your account and everything we hold about you from your account page at https://www.usenimbit.com/account; that cancels any subscription immediately.

We may suspend or terminate your access if you breach these Terms, if we are required to by law, or if we discontinue the Service. If we discontinue the Service or terminate your account without cause while you have a paid subscription, we will refund the unused part of your current billing period.

Sections 5 through 15 survive termination.

11. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service or its suggestions will be accurate, reliable, uninterrupted, or error-free. Some jurisdictions do not allow these disclaimers, so some of them may not apply to you.

12. Limitation of liability

To the fullest extent permitted by law, Nimbit and the people who build it will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to the Service, including anything you or others do with a suggestion. Our total liability for any claim relating to the Service is limited to the greater of the amount you paid us in the 12 months before the claim and US$50. These limits apply whatever the legal theory and even if we were told the damages were possible. They do not limit liability that cannot be limited by law, such as for fraud or wilful misconduct.

13. Governing law and disputes

These Terms are governed by the laws of the State of New York, United States, without regard to its conflict-of-law rules, and by applicable federal law.

If you have a problem, email hello@usenimbit.com first. We will try to resolve it informally within 30 days. If we cannot, any dispute will be brought in the state or federal courts located in New York County, New York, and you and we consent to their jurisdiction. Either of us may bring qualifying claims in small-claims court instead. If you are a consumer in the European Union or the United Kingdom, nothing in this section takes away protections you have under the mandatory law of the country where you live.

To the extent permitted by law, you and we agree that claims will be brought only on an individual basis, not as a plaintiff or class member in any class or representative proceeding.

14. Changes to these Terms

We may update these Terms. We will post the new version here and update the effective date. If a change materially reduces your rights or increases your obligations, we will tell you by email or in the extension at least 14 days before it takes effect. Continuing to use the Service after that date means you accept the new Terms. If you do not, cancel and stop using the Service before the change takes effect.

15. General

These Terms and the Privacy Policy are the whole agreement between you and us about the Service. If any part is found unenforceable, the rest still applies. Our not enforcing a term is not a waiver of it. You may not transfer these Terms; we may transfer them to a successor of our business. Nothing in these Terms creates a partnership, employment, or agency relationship. Notices to you may be sent to the email address on your account.
